End User License Agreement (EULA)

This End User License Agreement ("EULA" or "Agreement") is a legal agreement between you ("User," "you," or "your") and FluencyFound ("Licensor," "we," "our," or "us") for the use of the FluencyFound application, including the website at fluencyfound.com, mobile applications distributed through the Apple App Store, Google Play Store, or any other platform, and all related services, content, and updates (collectively, the "Application").

By downloading, installing, accessing, or using the Application, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not download, install, or use the Application.

1. License Grant

Subject to your compliance with this Agreement, FluencyFound grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Download, install, and use the Application on devices that you own or control, solely for your personal, non-commercial language learning purposes.
• Access and use the features and content of the Application in accordance with your subscription plan (Free, Premium Monthly, or Premium Annual).

This license does not grant you any ownership interest in the Application or its content. The Application is licensed, not sold, to you.

2. License Restrictions

You agree that you will not, and will not permit any third party to:

• Reverse Engineer: Reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code, algorithms, data structures, or underlying ideas of the Application or any part thereof.
• Modify: Modify, adapt, translate, or create derivative works based on the Application or any content therein.
• Redistribute: Copy, distribute, publish, sell, lease, sublicense, rent, lend, or otherwise transfer or make available the Application or any rights granted under this Agreement to any third party.
• Remove Notices: Remove, alter, or obscure any proprietary notices, labels, trademarks, watermarks, or copyright notices on or in the Application.
• Circumvent Protections: Circumvent, disable, or otherwise interfere with any security, digital rights management, usage limitation, or authentication features of the Application, including but not limited to free tier usage limits.
• Commercial Use: Use the Application or any content therein for any commercial purpose, including but not limited to teaching, tutoring, or content creation for profit, without our prior written consent.
• Automated Access: Use any robot, spider, scraper, crawler, or other automated means to access the Application or extract content or data.
• Benchmarking: Use the Application for benchmarking or competitive analysis purposes without our prior written consent.

3. Subscription and Auto-Renewal Terms

3.1 Subscription Plans

The Application offers three subscription tiers: Free (no charge), Premium Monthly ($9.99/month), and Premium Annual ($79/year). Features available under each plan are described on our pricing page and may change from time to time.

3.2 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annually) at the then-current subscription price, unless you cancel your subscription before the renewal date.

3.3 How to Cancel

You may cancel your subscription at any time:

• Web: Through your account settings on fluencyfound.com.
• Apple App Store: Through your Apple ID subscription settings (Settings > [your name] > Subscriptions).
• Google Play Store: Through your Google Play subscription settings (Google Play > Menu > Subscriptions).
• Email: By contacting [email protected].

Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that date.

3.4 Refunds

Refund policies may vary depending on your platform of purchase:

• Web purchases (Stripe): We offer a 30-day money-back guarantee from the date of initial purchase. Contact [email protected] to request a refund.
• Apple App Store purchases: Refunds for App Store purchases are handled by Apple in accordance with Apple's refund policy. Request a refund through reportaproblem.apple.com.
• Google Play purchases: Refunds for Google Play purchases are handled by Google in accordance with Google Play's refund policy.

4. Intellectual Property

The Application and all content, features, and functionality therein, including but not limited to all software, code, text, lesson content, curriculum, vocabulary databases, audio recordings, graphics, logos, icons, images, and the selection and arrangement thereof, are owned by FluencyFound or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The FluencyFound name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of FluencyFound. You may not use these marks without our prior written permission.

5. User Content and Data

You retain ownership of content you create through the Application, including your conversation inputs and any text you compose. By using the Application, you grant FluencyFound a limited license to process this content as necessary to provide the Service, as further described in our Privacy Policy and Terms of Service.

Learning progress data (including lesson scores, review history, and spaced repetition data) is stored on our servers to provide a consistent experience across devices. This data is governed by our Privacy Policy.

6. Termination

6.1 Termination by You

You may terminate this Agreement at any time by deleting the Application from all your devices and requesting account deletion by contacting [email protected]. If you have an active paid subscription, you must also cancel it through the applicable platform (web, App Store, or Google Play) to stop future charges.

6.2 Termination by Us

We may terminate or suspend this license immediately, without prior notice or liability, if you breach any term of this Agreement. Upon termination:

• All rights and licenses granted to you under this Agreement shall immediately cease.
• You must cease all use of the Application and delete all copies from your devices.
• We may, at our sole discretion, delete your account and all associated data.
• You will not be entitled to a refund of any prepaid subscription fees if termination is due to your breach of this Agreement.

6.3 Survival

The following sections shall survive any termination of this Agreement: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.

7. Disclaimer of Warranties

The Application is provided "as is" and "as available" without any warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by applicable law, FluencyFound disclaims all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment.

We do not warrant that the Application will be error-free, uninterrupted, or free of harmful components. We do not guarantee any specific learning outcomes or language proficiency levels from using the Application.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall FluencyFound be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, whether caused by tort (including negligence), breach of contract, or otherwise, arising out of or in connection with your use of or inability to use the Application, even if FluencyFound has been advised of the possibility of such damages.

FluencyFound's total cumulative liability arising out of or related to this Agreement shall not exceed the greater of (a) the total fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim, or (b) fifty dollars ($50).

9. Indemnification

You agree to indemnify, defend, and hold harmless FluencyFound and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Application, your violation of this Agreement, or your violation of any rights of a third party.

10. Apple App Store Additional Terms

The following additional terms apply if you downloaded the Application from the Apple App Store:

• Acknowledgment: You acknowledge that this Agreement is between you and FluencyFound only, and not with Apple Inc. ("Apple"). FluencyFound, not Apple, is solely responsible for the Application and its content.
• Scope of License: The license granted to you for the Application is limited to a non-transferable license to use the Application on any Apple-branded product that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
• Maintenance and Support: FluencyFound is solely responsible for providing maintenance and support services for the Application. Apple has no obligation to provide any maintenance or support services for the Application.
• Warranty: FluencyFound is solely responsible for any product warranties, whether express or implied. In the event of any failure of the Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the Application. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the Application.
• Product Claims: FluencyFound, not Apple, is responsible for addressing any claims relating to the Application or your possession and/or use of the Application, including but not limited to (a) product liability claims, (b) any claim that the Application fails to conform to any applicable legal or regulatory requirement, and (c) claims arising under consumer protection, privacy, or similar legislation.
• Intellectual Property Claims: In the event of any third-party claim that the Application infringes that third party's intellectual property rights, FluencyFound, not Apple, shall be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
• Third-Party Beneficiary: You acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of this Agreement, and that upon your acceptance of the terms of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.

11. Google Play Store Additional Terms

The following additional terms apply if you downloaded the Application from the Google Play Store:

• Acknowledgment: You acknowledge that this Agreement is between you and FluencyFound only, and not with Google LLC ("Google"). FluencyFound, not Google, is solely responsible for the Application and its content.
• Google Play Terms: Your use of the Application must comply with the Google Play Terms of Service, in addition to this Agreement.
• Maintenance and Support: FluencyFound is solely responsible for providing support and maintenance for the Application. Google has no obligation to provide support services for the Application.
• Liability: FluencyFound, not Google, is responsible for addressing any claims relating to the Application, including product liability claims, any claim that the Application fails to conform to applicable legal requirements, and claims arising under consumer protection or similar legislation.
• Third-Party Beneficiary: Google and its subsidiaries are intended third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement, Google will have the right to enforce this Agreement against you as a third-party beneficiary.

12. Updates and Modifications

FluencyFound may from time to time release updates, patches, or new versions of the Application. Such updates may be required for you to continue using the Application. You agree that FluencyFound may automatically download and install updates on your device. Some updates may change or remove features or functionality.

We reserve the right to modify this Agreement at any time. We will notify you of material changes by posting the updated Agreement within the Application or by email. Your continued use of the Application after such notification constitutes your acceptance of the modified Agreement.

13. Export Compliance

You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control, and the International Traffic in Arms Regulations maintained by the Department of State.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

15. Severability

If any provision of this Agreement is held to be unenforceable or invalid, that provision will be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

This Agreement, together with the Privacy Policy and Terms of Service, constitutes the entire agreement between you and FluencyFound with respect to your use of the Application and supersedes all prior or contemporaneous understandings, communications, and agreements, whether written or oral.
