These Terms of Service ("Terms") govern your access to and use of the FluencyFound language learning platform, including our website at fluencyfound.com, mobile applications, and all related services (collectively, the "Service"), operated by FluencyFound ("we," "our," or "us").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

1. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age, you may only use the Service with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Service, you represent and warrant that you meet these eligibility requirements.

2. Account Registration

To access most features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and current.
• Maintain the security of your account credentials and not share your password with any third party.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe are being used in violation of these Terms.

3. Subscription Plans and Payments

3.1 Available Plans

The Service offers the following subscription tiers:

3.2 Billing and Renewal

Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you select). Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. All payments are processed securely through Stripe.

3.3 Free Trial

We may offer a free trial period for paid plans. At the end of the free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. We will notify you before the trial period expires.

3.4 Price Changes

We reserve the right to change our subscription prices at any time. Any price changes will take effect at the start of your next billing cycle. We will provide you with at least 30 days' notice before any price increase takes effect.

3.5 Cancellation and Refunds

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

• Your paid features will remain active until the end of your current billing period.
• Your account will revert to the Free plan at the end of the billing period.
• Your learning progress, vocabulary data, and review history will be retained.

We offer a 30-day money-back guarantee on all paid plans. If you are not satisfied, contact us at [email protected] within 30 days of your initial purchase for a full refund.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable federal, state, local, or international law or regulation.
• Attempt to probe, scan, or test the vulnerability of the Service or any related system or network, or breach any security or authentication measures.
• Use automated scripts, bots, or other means to access the Service, scrape content, or collect user data without our prior written consent.
• Interfere with or disrupt the Service or servers or networks connected to the Service.
• Attempt to manipulate or abuse the free tier usage limits, including creating multiple accounts to circumvent daily time restrictions.
• Use the AI conversation feature to generate harmful, abusive, illegal, or inappropriate content.
• Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity.
• Resell, redistribute, or sublicense access to the Service without our written authorization.
• Use the Service to send unsolicited communications, spam, or promotional materials.

5. Intellectual Property

5.1 FluencyFound Content

All content provided through the Service, including but not limited to lesson materials, vocabulary lists, grammar explanations, course curricula, audio recordings, illustrations, user interface designs, trademarks, logos, and software code (collectively, "FluencyFound Content") is owned by FluencyFound or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any FluencyFound Content except as permitted by these Terms or with our prior written consent.

5.2 User-Generated Content

Content you create through the Service, including messages in AI conversation sessions ("User Content"), remains your property. However, by using the Service, you grant FluencyFound a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and analyze your User Content for the purposes of:

• Providing and improving the Service.
• Training and improving our AI models and language learning algorithms.
• Generating aggregated, anonymized analytics (no individual user data will be publicly disclosed).

You represent and warrant that you own or have the necessary rights to any User Content you submit, and that your User Content does not infringe the rights of any third party.

6. AI Conversation Feature

The AI conversation practice feature is powered by third-party AI technology. You acknowledge and agree that:

• AI responses are generated automatically and may occasionally contain errors, inaccuracies, or inappropriate content.
• AI-generated corrections and language guidance are provided for educational purposes and should not be treated as authoritative linguistic reference.
• We do not guarantee the accuracy, completeness, or reliability of AI-generated responses.
• You should not share sensitive personal information (financial data, passwords, social security numbers, etc.) in AI conversations.

7. Account Suspension and Termination

7.1 Termination by You

You may delete your account at any time by contacting us at [email protected]. Upon account deletion, your personal data will be handled in accordance with our Privacy Policy.

7.2 Termination by Us

We reserve the right to suspend or terminate your account, without prior notice, if we reasonably believe that:

• You have violated these Terms or any applicable law.
• Your account is being used for fraudulent or illegal activity.
• You have created multiple accounts to abuse free tier limits.
• Your use of the Service poses a risk to other users, our systems, or third-party services.
• You have engaged in abusive behavior toward our team or other users.

If we terminate your account for cause, you will not be entitled to a refund of any prepaid subscription fees.

7.3 Effect of Termination

Upon termination of your account, your right to use the Service ceases immediately. We may, but are not obligated to, delete your data following termination. Sections of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and dispute resolution) will remain in effect.

8. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, FluencyFound disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free.
• The results obtained from the Service will be accurate or reliable.
• Any errors in the Service will be corrected.
• The Service will meet your specific learning goals or requirements.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall FluencyFound, its directors, officers, employees, agents, partners, or suppliers be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with:

• Your access to, use of, or inability to use the Service.
• Any conduct or content of any third party on the Service, including AI conversation responses.
• Any content obtained from the Service, including errors or omissions in lesson content or AI-generated responses.
• Unauthorized access to or alteration of your data.

In no event shall FluencyFound's total liability to you for all claims arising out of or relating to the Service exceed the greater of (a) the amount you have paid us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless FluencyFound and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any third-party right, including any intellectual property, privacy, or proprietary right.
• Any claim that your User Content caused damage to a third party.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against FluencyFound.

12. Third-Party Services and Links

The Service may contain links to or integrate with third-party websites, services, or applications (including Stripe for payments, Mistral AI for conversation, and Google AdSense for advertising). We do not control and are not responsible for the content, privacy policies, or practices of any third-party services. Your use of third-party services is at your own risk and subject to the terms and conditions of those third parties.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. If we discontinue a paid feature, we will provide a pro-rata refund for the unused portion of your subscription.

14. Changes to These Terms

We may revise these Terms from time to time. The most current version will always be posted on this page with the updated "Last updated" date. If a revision is material, we will provide at least 30 days' notice prior to the new terms taking effect via email or in-app notification.

By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Service and contact us to delete your account.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy and End User License Agreement, constitute the entire agreement between you and FluencyFound regarding your use of the Service and supersede all prior and contemporaneous agreements, understandings, and representations.
